Terms and conditions

1. Who we are

VM Services, based in Panama City, installs, restocks and manages snack and drink vending machines in condo buildings, offices, shopping centers, gyms, clinics, universities and hotels across Panama. We also sell ready-to-run vending machines.

2. Using the site

You can use the site to learn about our services and ask for a quote. When you use it, you agree to:

• give us accurate information and not impersonate any person or business;
• not try to damage, overload or gain unauthorized access to the site or its servers;
• not copy or scrape its content by automated means;
• not use it for unlawful purposes or to send offensive or misleading content.

We may change, suspend or take down the site, or any part of it, at any time.

3. Quotes and contracts

Sending the form or messaging us is a request for information, not a purchase or a booking. The information on the site and our quotes are for guidance only and don’t oblige us to provide a service or sell you a machine.

The service at each location and the sale of each machine are governed by a written contract or an accepted written quote, with its own specific terms (business model, term, payments, installation and removal). Where that document differs from these terms, that document prevails.

4. How we can work together

With our vending service at your location, we provide the machine, the products, the restocking and the maintenance. We offer three arrangements, defined in each location’s contract:

• We pay you for the space: your location receives a recurring payment for hosting the machine.
• Another arrangement, to be agreed: depending on foot traffic and the kind of place, we agree on the model that works best.
• Just the vending machine: if what you want is the amenity for your people, we install it and run it.

Machines we install at your location remain the property of VM Services. You may not sell them, pledge them or transfer them.

5. Prices and availability

Prices, products, machine models and payment methods shown on the site are for reference and may change without notice. Availability depends on our suppliers and on each location.

The price of a purchase at a machine is the one the machine shows when you pay. The price of a machine or a service is the one in the accepted quote, while it’s valid.

6. Host location responsibilities

If you host one of our machines, unless the contract says otherwise, you’re responsible for:

• providing a suitable space: covered, dry, level, ventilated and out of direct sun and rain;
• a nearby, properly grounded electrical outlet in good condition, and the electricity the machine uses, which is offset by the rent or other arrangement set out in the contract;
• giving our team reasonable access to install, restock, clean and repair the machine at the agreed times;
• taking reasonable care of the machine: not moving, opening, unplugging or tampering with it, and telling us promptly about any damage, vandalism, theft or fault;
• getting any internal approvals your location needs (for example, from the condo board or the building or shopping center management);
• if you want the machine to take cards: this is optional and at VM Services’ discretion; it requires a contract with a bank or payment processor, and the card reader, its installation and the costs of that contract are on you.

You’re liable for damage to the machine caused by your fault or your staff’s, as set out in the contract.

7. Buying a machine

When you buy a machine from us, the price, delivery, installation and warranty terms are those in the accepted quote and the invoice, without prejudice to any minimum warranty the law grants you.

From delivery onwards, running the machine is up to you: your products, their prices, expiry dates and health registrations, the permits for the location, the cash, your Yappy and other payment credentials, and how your staff use it. The MyVM software that comes with the machine is licensed under MyVM’s own terms (myvm.app).

8. Buying from our machines

The products we sell are made by third parties and carry their own label, expiry date and health registration. We store them and sell them before their expiry date. Their composition and factory quality are the manufacturer’s responsibility, without prejudice to your rights as a consumer under the law.

Check the product before eating or drinking it, and read the label if you have allergies or dietary restrictions. If you find a product that’s expired, damaged or spoiled, don’t consume it and let us know: we’ll replace it or refund you.

For your safety, don’t hit, shake or tip the machine: it can fall over and cause serious injury. If something doesn’t come out, contact us.

9. Failed vends and refunds

If the machine charged you and didn’t deliver the product, or delivered the wrong one, we’ll refund you or replace the product. To request it, message us on WhatsApp at +507 6679-8233 or email soporte@myvendingservices.com, ideally within 30 days, with:

• where the machine is;
• the date and approximate time of the purchase;
• the product and the amount;
• the payment method and, if you paid with Yappy or a card, the reference number or a screenshot of the receipt.

We check the case against the machine’s records and get back to you as soon as possible. Refunds are made through the same payment method where possible or, if not, in cash or in product.

10. Limitation of liability

The site is provided “as is” and “as available”. We try to keep the information accurate, but it may contain errors or omissions, and we don’t guarantee it will work without interruption.

Our machines depend on electricity, the internet, payment providers (such as Yappy and banks) and the manufacturer’s equipment. When the internet is down, digital payments may be unavailable and the machine keeps selling for cash. We’re not liable for interruptions, delays or failures caused by those circumstances or by others beyond our reasonable control, such as power cuts, natural disasters, or acts of third parties or the authorities.

To the extent the law allows, VM Services is not liable for indirect damages, lost profits or loss of data, and its total liability to a customer is limited to what the contract sets out or, if it doesn’t, to what that customer paid VM Services in the 12 months before the event. For a purchase at a machine, our liability is limited to refunding you or replacing the product.

Nothing in this section limits the rights you can’t waive under consumer protection law, or our liability for fraud or gross negligence.

11. Intellectual property

The VM Services name and logo, the site’s design, its text, original illustrations and photos, and its code belong to VM Services or its licensors and are protected by intellectual property laws. You may not copy, reproduce, modify or distribute them, or use our brand, without our written permission.

MyVM and its software belong to their owner and are used under license. Third-party product brands, names and images shown on the site belong to their manufacturers and are used only to illustrate what can be sold in our machines.

12. Third-party links

The site links to third-party services such as WhatsApp, Instagram and MyVM. Those services have their own terms and policies, and we’re not responsible for their content or how they work.

13. Changes to these terms

We may update these terms. The version in force is the one posted on this page, with its update date. Changes don’t affect contracts already signed, which are governed by their own terms.

14. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Panama. Any dispute will be submitted to the courts of Panama City, without prejudice to your right, as a consumer, to go to Panama’s consumer protection authority (ACODECO).
